Over the years, Kelly has served as corporate counsel to numerous business start-ups, small businesses, private companies, inventors and entrepreneurs on a broad range of transactional business matters in a variety of business industries. Kelly practices in the areas of corporations, partnerships, limited liability companies, joint ventures, contracts, mergers and acquisitions, and trademarks.
As a Charleston corporate lawyer in these areas, Kelly advises entrepreneurs, professionals and business clients on a variety of business transactions including, but not limited to, mergers and acquisitions, business organizations and re-organizations, contract development and negotiation, employment, and intellectual property, specifically trademarks.
In his early years, Kelly spent summers in Florida and winters in Park City, Utah. Besides skiing and surfing, he enjoys playing soccer, golf and tennis. Additionally, Kelly Frame studied international law in Sydney, Australia, traveled Central and South America, Indonesia and Southeast Asia, and worked for Habitat for Humanity, building houses in Nicaragua.

Ryan Zeller, a Chicago commercial litigation attorney, is the firm’s Managing Partner. Ryan’s practice involves a wide array of business disputes and commercial litigation matters. Ryan provides legal counsel to individuals and business clients and has represented numerous corporate, small business, start-ups and professional clients in a number of litigation matters; including: breach of contract, legal malpractice, breach of fiduciary duty, fraud, trade secrets, employment disputes, non-competes (and other restrictive covenants), trademark infringement, debt collections and a myriad of other contract disputes, partnership disputes, shareholder disputes, among other matters adversarial in nature.
Ryan has successfully represented clients in both state and federal court. He also represents his clients in alternative dispute resolution matters such as arbitrations and mediations. He works zealously to achieve favorable results for his professional and corporate clients.
After graduating from Indiana University, Ryan attended the DePaul University College of Law and Kellstadt Graduate School of Business to obtain his Juris Doctor and Masters in Business Administration.
Reid practices in the areas of real estate, estate planning and probate administration and litigation, business succession planning, asset protection, commercial litigation, and other business law matters. In her estate planning practice, Reid represents individuals, families and corporate clients on estate planning matters in the formulation and implementation of strategies to reduce taxation, protect and preserve assets, and facilitate the transfer of assets among family members and charities. Reid advises clients in connection with the establishment of both simple and highly customized estate plans, which may incorporate the use of revocable trusts, irrevocable trusts, charitable trusts, insurance trusts, special needs trusts, and various other estate planning methods. She works with individuals, families, and closely-held businesses to ensure that the estate plans established by her clients during their lifetimes are respected into the future. Reid is a member of Wealth Counsel Trust and Estate Practice.
Reid regularly works with our law firm’s corporate clients on such diverse matters as commercial litigation, real estate transactions, mergers and acquisitions, business organizations and reorganizations, and intellectual property. She assists individuals, families, and investors in navigating the complicated and detailed process of buying and selling real property. Reid is a licensed title insurance agent with Chicago Title Insurance Company and is experienced in handling all types of transactions involving real property including buying, selling, leasing, refinance and 1031 exchanges.
James represents and advises entrepreneurs, business start-ups, closely held and family owned businesses, multi-national companies, and non-profit associations on a broad range of corporate transactional matters. He serves businesses in numerous industries, some of which include healthcare, transportation, construction, financial services, entertainment and attractions, retail, hospitality, apparel and fashion, brokering, and technology (new product, software, and hardware invention, design, development, funding, licensing, and sale).
As a Chicago corporate attorney, he practices in areas such as new business formation and development, operating agreements and bylaws, corporate infrastructure management, contract drafting and negotiation, mergers and acquisitions, customer and supplier contracts, bylaws, buy-sell agreements, business succession planning, employment and non-compete agreements, employment law, venture capital and private placement offerings, financing and lending, licensing, regulatory compliance, merchant services, domain name disputes, and legislative undertakings.
